Announcement on Change of Chairman of the Board & Legal Representative of Wuhan Xinxin Semiconductor Manufacturing Corporation

The Board of Directors of Wuhan Xinxin Semiconductor Manufacturing Corporation (hereafter referred to as “XMC”) has taken steps to ensure the content of this announcement does not include any false records, misleading statements or major omissions, and assumes joint and several liability for its truthfulness, accuracy and completeness.

XMC is a wholly-owned subsidiary of Yangtze Memory Technology Co., Ltd. (hereafter referred to as “YMTC”). According to Articles of Incorporation in XMC (Article No.6, Rule No.12&18), The Board of Directors is selected by shareholders, and the Chairman of the Board is the company’s legal representative, also selected by shareholders.

Since Mr. Wang Jizeng has recently been appointed as the Supervising Chairman of XMC and YMTC, the Board of YMTC approved Mr. Wang Jizeng’s resignation from the position of XMC’s chairman and legal representative at the second session of the first board meeting on August 24. The Board of YMTC also appointed Mr.Yang Daohong (CV attached below) as XMC’s new chairman and legal representative. The amendment of the registration has been submitted for processing by the relevant administrative department for industry and commerce.

Mr. Wang Jizeng faithfully fulfilled his duties as XMC’s chairman and legal representative. The Board of XMC is grateful for what Mr. Wang Jizeng has contributed to XMC.

Born in 1975, Mr.Yang Daohong has acquired a doctor’s degree in Microelectronics and Solid State Electronics, post-doctoral degree in Business Administration and was granted as senior engineer, senior economist. From 2005, he held various positions as assistant administrative researcher in Wuhan East Lake High-tech Zone economic development bureau, deputy director of merchant bureau, head of industry attraction department of Future Technology Area development and management office, director of investment promotion bureau and investment service center, executive deputy director of IC industry development office, director of FPD development leading group, assistant executive officer of XMC, vice chairman of Tianma Micro-electronics Co., Ltd., vice president of Yangtze River Economic Belt Industrial Fund Management Company, and now serves as vice chairman of the board in YMTC.

Mr. Yang Daohong has been recognized and received honors such as “Hubei May 4th Youth Medal”, “Wuhan Advanced Individual of Major Industrial Project Planning”, etc.
