Statement on Dr.Yang Shining's Resigning as the CEO of XMC

PLEASE MAKE NOTE OF THIS IMPORTANT ANNOUNCEMENT:

The Board of Directors (BOD) as well as all directors of Wuhan Xinxin Semiconductor Manufacturing Corporation (hereinafter referred to as “XMC”) hereby represent that this announcement is free of any false statement, misleading representation or material omission, and that they will be jointly and severally responsible for the truthfulness, accuracy and completeness of this announcement.

As Dr. Yang Shining is the newly appointed CEO of Yangtze Memory Technologies Co., Ltd. (hereinafter referred to as “YMTC”), Dr. Yang has thus tendered his resignation as the CEO of XMC.

The Board of Directors of XMC accepted the resignation of Dr. Yang Shining at its recent session of the Board dated October 25, 2016 and has also made certain arrangements on management matters of XMC as follows:
There will be a transitional period beginning from October 26, 2016, the date of resignation of Dr. Yang Shining, to the date upon which the new CEO of XMC, upon appointment by the Board of Directors of XMC, will officially commence his/her role as the new CEO of XMC. During this transitional period, a management team, led by the Board of Directors of XMC, shall be primarily responsible for the business affairs of XMC.

The primary responsibilities of the management team of XMC are to identify and recommend suitable CEO candidates to the Board of XMC for its consideration and final appointment on merit of such candidate, and also to make decisions on all major business matters of XMC during this transitional period. In the meantime, Dr. Hong Feng, XMC's COO, will assume the responsibilities of a CEO and will be in charge of the day to day operational matters of XMC during this transitional period.

During his tenure as the CEO of XMC, Dr. Yang Shining has made significant contributions to the growth and development of XMC through his diligent and conscious efforts. The Board of Directors of XMC has expressed its heartfelt thanks to Dr. Yang Shining for his great services to the company. They all wish him to be even more successful at YMTC.
